Calendar2U Vendor Terms of Service

These Terms of Services ("Terms") shall govern your ("You" or "Your") use of the website and/or mobile app (the "Platform"), including various services ("Service") provided by Yuno Solutions Sdn. Bhd. ("We" or "Yuno Solutions" or "Calendar2U"). In this Terms, "Vendor" means the party and/or business who registers to become a user of online tools provided by calendar2u.com, "Vendor Offering" means digital goods and/or services, discounts, vouchers, and/or rebates agreed to be given by Vendor, "Customer" means users who view and interact with Vendor Offering provided in Platform and/or web or mobile applications owned by Yuno Solutions, and "Parties" means collectively, the Vendor and Yuno Solutions. By using or accessing the Platform you agree to be bound by these Terms. If you do not agree to any of these terms, please do not proceed and immediately discontinue your access and/or use of the Platform.

You agree that we may change any part of the Platform, including its content, at any time or discontinue the Platform or any part thereof, for any reason, without notice to you and without liability. You declare that by acceptance of these Terms and/or by using the Platform, you are of legal age to form a binding contract with Yuno Solutions. If you are agreeing to be bound by these Terms on behalf of your employer or other entity, you represent and warrant that you have full legal authority to bind your employer or such entity to these Terms. If you do not have the requisite authority, you may not accept these Terms or use the Platform on behalf of your employer or other entity. You may not use the Platform and may not accept these Terms if you are a person barred from using the Platform under the laws of the country in which you are resident or from which you use the Platform.

We may, in our sole discretion, refuse to offer our services to any person or entity. We may, without notice and in our sole discretion, terminate your right to use the Platform, or any portion thereof, and block or prevent your future access to and use of the Platform or any portion thereof.

Nothing in this Agreement shall be construed to create a joint venture, agency, partnership, or franchise between the parties. Neither Party has the authority, without the other Party’s prior written approval, to bind or commit the other Party in any way. The Vendor understands and acknowledges that Yuno Solutions does work regularly with other vendors who may be direct or indirect competitors with the Vendor. By entering into this Agreement, the Vendor agrees that Yuno Solutions is not precluded from entering into similar agreements with other vendors, regardless of whether they are direct or indirect competitors with the Vendor.

If you violate these Terms, Yuno Solutions reserves the right to issue you a warning regarding the violation or to immediately terminate or suspend your use of the Platform. You agree that Yuno Solutions does not need to provide you notice before terminating or suspending your use of the Platform, but it may provide such notice in its sole discretion.

Calendar2U reserves the right to revise the Terms of Service at any time. Notification of the changes will be posted online and you are responsible to regularly review information posted in Calendar2U to obtain timely notice of such changes. Any usage of Calendar2U after the said updates or revisions, will be deemed that you have read and agreed to the updated Terms of Service.

1. Platform and Accounts

The Platform may contain links to third party websites that are not owned or controlled by Yuno Solutions. Yuno Solutions has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, Yuno Solutions will not and cannot censor or edit the content of any third party websites. By using the Platform, you expressly relieve Yuno Solutions from any and all liability arising from your use of any third party website.

In order to access some features of the Platform, you will have to request for a Calendar2U vendor account. You may never use another account without permission. While submitting a request for a Calendar2U vendor account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify Yuno Solutions immediately of any breach of security or unauthorized use of your account. Although Calendar2U will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Calendar2U or others due to such unauthorized use.

2. Eligibility

In order to be eligible to request a Membership, you must be at least eighteen (18) or over, and a representative of a legal business entity in the country of operation. By using the Platform and/or the Service, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the Terms herein. You further represent and warrant that all registration information you submit is truthful and accurate and that you agree to maintain the accuracy of such information. Your Membership may be terminated without warning and you may be barred from any future use of the Platform and/or the Service if you provide any information that is untrue, inaccurate, not current, or incomplete, including but not limited to misrepresenting your age or ownership of a business entity, or if Yuno Solutions has reasonable grounds to suspect that such information is false, inaccurate, not current, or incomplete. You are solely responsible for all content published or displayed through your Membership account, including but not limited to e-mail messages, and for your interactions with other Members. Yuno Solutions reserves the right to refuse or revoke Membership to anyone at any time for any reason resulting in the loss of ownership for said member.

3. Obligations

The Vendor is solely responsible for providing the Vendor Offering, including but not limited to, the supply or delivery of the goods and/or services, Customer service, after-sales-service and return management. The Vendor shall indemnify and hold Yuno Solutions free from any possible claims from third parties regarding the Vendor Offering, including, but not limited to, claims of personal injury, death or property damage.

The Vendor shall use the Platform responsibly and not use it for any unlawful activities, including but not limited to sale of counterfeit deals, fraudulent activity, illegal money lending or activity that is in any way related to gambling. The Vendor must have title or ownership over the goods and/or services they offer. The Vendor shall take all reasonable precautions and diligence to prevent any unauthorised use of the Platform.

4. Exclusion of Liability

Yuno Solutions does not exclude or limit any liability that cannot be excluded or limited by applicable law. Yuno Solutions shall not be liable for any indirect loss. Further, Yuno Solutions shall not be liable, whether directly or indirectly, for (i) loss of actual or anticipated profits; (ii) loss of goodwill; or (iii) loss of data and/or the costs of restoration of data.

5. Intellectual Property

For this term of this Agreement, the Vendor grant Calendar2U non-exclusive, worldwide, royalty free, paid-up, irrevocable, transferable and sub-licensable right to use the Vendor’s registered and unregistered intellectual property rights (“Vendor IP”), and any third party’s intellectual property rights supplied by the Vendor to Calendar2U (“Third Party IP”), including, but not limited to, any editorial text or images.

The Vendor warrants that it owns all interest in and to the Vendor IP, has licensing rights (including the right to sublicense to Yuno Solutions) in the Third Party IP, and has the right to grant the license stated in this Agreement.

The Vendor shall not use any of Yuno Solutions and/or Calendar2U’s intellectual property rights or prepare any derivative work based thereon.

6. Privacy

The Vendor agrees to keep strictly confidential the terms of this Agreement, all of its contents and all information that it obtained about Yuno Solutions’s business, including, but not limited to, the finances, technology and affairs of Yuno Solutions.

Yuno Solutions or an affiliated entity owns all personal data about Customers. Where Yuno Solutions (or an affiliated entity or other third party) makes personal data about Customer available to the Vendor, the Vendor shall use the personal data of Customer only to fulfil its obligations in connection with the Vendor Offering, and for no other purpose. The Vendor shall ensure that at all times it implements and complies with reasonable security measures, including, but not limited to, such security measures as prescribed by applicable law, in the handling of any personal data of Customer. If the Vendor engages any third party to facilitate any of its obligations hereunder, the Vendor shall ensure that such third party complies in the same way with all of the Vendor's obligations under this Agreement.

Yuno Solutions reserves the right to make general and specific credit and financial checks and credit-related enquiries about the Vendor and certain individuals and/or legal entities working with and/or for the Vendor. The Vendor consents to these checks and agrees to cooperate with Yuno Solutions’s reasonable requests in respect of conducting these checks. The Vendor acknowledges that Yuno Solutions may record phone and/or video calls with the Vendor for quality assurance and compliance purposes.

YOU AGREE THAT YOUR USE OF THE Calendar2U WEBSITE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, Calendar2U, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF. Calendar2U MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SITE'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR:

  1. ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT;
  2. ANY PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR WEBSITE;
  3. ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN;
  4. ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR WEBSITE;
  5. ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR WEBSITE BY ANY THIRD PARTY;
  6. ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE Calendar2U WEBSITE;

Calendar2U DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE Calendar2U WEBSITE OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND Calendar2U WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
